Terms of Service
These terms apply to your use of this website and the Sidecar Agents platform, including Corporate Brain and Agent Archie. By using them you agree to these terms.
1. Who we are
The website and platform are provided by Sidecar Unlimited Pty Ltd (ABN 40 653 158 484) (“Sidecar”, “we”, “us”).
2. Your agreement with us
Organisations use the platform under a separate written agreement with Sidecar. If that agreement conflicts with these terms, the agreement prevails. If you use the platform on behalf of an organisation, you confirm that you are authorised to bind it to these terms.
3. Accounts and access
- Keep your sign-in details secure and tell us promptly if you suspect unauthorised use.
- Your organisation decides who may use the platform and which sources it connects.
- Connecting a source (such as Google Drive or Microsoft 365) is authorised by an administrator of your organisation through the provider’s own consent screen. By connecting a source, your organisation confirms that it has the right to let Sidecar process that content.
4. Your data
Your organisation keeps all rights in its content. You grant Sidecar the rights we need to host, process and transmit that content, solely to provide the platform to you. We handle personal information as described in our Privacy Policy. We do not use your content to train AI models.
5. Acceptable use
You must not:
- use the platform in breach of any law, or to infringe anyone’s rights;
- try to get into accounts, data or systems you are not authorised to use, including another organisation’s data;
- interfere with, probe or overload the platform, or get around its security or usage limits;
- reverse engineer the platform, except where the law allows it;
- upload malicious code; or
- use outputs to build a competing product.
6. AI-generated output
The platform uses AI models to summarise, classify, name and answer questions about content. AI output can be incomplete or wrong. Review it before relying on it, especially for legal, financial or safety decisions. Actions that change files are limited to the locations and permissions your administrators have granted.
7. Third-party services
The platform connects to services run by others, such as Google, Microsoft and HubSpot. Their own terms govern your use of their services, and we are not responsible for their availability or behaviour.
8. Our intellectual property
Sidecar owns the platform, this website and our materials, including methodologies, software and design. You may not copy or reuse them except as your agreement with us allows.
9. Availability and changes
We work to keep the platform available and secure, but we do not promise uninterrupted service. We may change or improve features. If a change materially reduces the service your organisation has paid for, we will give reasonable notice.
10. Suspension and termination
We may suspend access if it is needed to protect the platform, other customers or the public, or if these terms are seriously breached. When your organisation’s agreement ends, we delete its data as described in the Privacy Policy.
11. Liability
Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or other law that cannot lawfully be excluded. Beyond that, and to the extent the law permits:
- the website is provided “as is”;
- we are not liable for indirect or consequential loss, or for loss of profit, revenue or data; and
- our total liability arising from the platform is limited to the fees your organisation paid us in the 12 months before the claim arose.
12. Governing law
These terms are governed by the laws of Queensland, Australia. You submit to the non-exclusive jurisdiction of its courts.
13. Changes to these terms
We may update these terms by posting a new version here. Continuing to use the website or platform after that means you accept the updated terms.
